These Terms of Service and End User License Agreement ("Agreement") govern your access to and use of Billr ("App"), an invoicing and business management mobile application published by Billr ("we," "our," or "us"), available on the Apple App Store and Google Play Store. By downloading, installing, or using the App, you confirm that you are at least 18 years of age and agree to be bound by this Agreement. If you do not agree, do not install or use the App.

1. End User License Agreement (EULA)

1.1 License Grant

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on devices that you own or control, solely for your personal business invoicing and management purposes, in accordance with this Agreement and the usage rules set forth by Apple Inc. and Google LLC for their respective app stores.

Important billing disclosure required by Apple and Google: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You will be charged through your Apple ID or Google Play account.

2.2 Free Trial

The Yearly plan includes a 3-day free trial for new subscribers only. You will not be charged if you cancel at least 24 hours before the trial ends. After the trial period ends, the annual subscription price of $49.99 will be charged automatically.

2.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period at the then-current price. Your Apple ID or Google Play account will be charged within 24 hours before the end of the current period. You can manage and cancel subscriptions at any time via your device's subscription settings:

We reserve the right to change subscription prices. You will be notified of any price changes before they apply. Your continued use of the App after the change constitutes acceptance of the new pricing.

2.5 Refunds

All in-app purchase transactions are processed by Apple and Google. Refund requests must be submitted directly to the respective store operator:

We do not process refunds directly. We have no access to your payment method or billing information.

5. Intellectual Property

The App, including its design, source code, features, and content, is owned by Billr and protected by applicable intellectual property laws. Your use of the App does not grant you ownership of any intellectual property rights in the App or its content. All rights not expressly granted are reserved.

6. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BILLR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising out of or relating to this Agreement shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. Privacy

Your use of the App is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to the data practices described in our Privacy Policy.

9. Termination

This Agreement is effective until terminated. We reserve the right to suspend or terminate your account and access to the App immediately, without prior notice, if you violate any terms of this Agreement. Upon termination, all rights granted to you under this Agreement cease immediately. You may delete your account and terminate this Agreement at any time via the App's Settings or our Data Deletion page.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

11. Dispute Resolution

Any disputes arising from or relating to this Agreement shall first be attempted to be resolved by good-faith negotiation. Please contact us in writing before pursuing any formal dispute resolution:

We will make every effort to resolve disputes within 30 business days of receiving written notice. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration under the rules of the American Arbitration Association, with arbitration conducted in Delaware.

12. Changes to This Agreement

We may revise this Agreement from time to time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by providing in-app notice. Your continued use of the App after such changes constitutes your acceptance of the revised Agreement.
